1. About Us

NEXAPROMPT ("we", "us", "our") is an intelligence marketplace operated under English law. We sell digital products including AI system prompts, agent blueprints, prompt packs, and AI-generated digital artwork.

2. Acceptance of Terms

By accessing our marketplace or purchasing any product, you agree to be bound by these Terms of Service, our Privacy Policy, Cookie Policy, and Refund Policy. If you do not agree, do not use our services.

These terms apply to all visitors, users, and purchasers. We reserve the right to update these terms at any time. Continued use constitutes acceptance of updated terms.

3. Products & Digital Licences

3.1 Nature of Products

All NEXAPROMPT products are digital goods delivered electronically. Products include:

Upon verified payment, we grant you a personal, non-exclusive, non-transferable, royalty-free licence to use the purchased product for your own commercial and personal purposes. This licence does not include:

3.3 Digital Art — Commercial Licence

Digital Art products include a full commercial licence for: print, web, NFT creation, merchandise, branded content, advertising, and editorial use. Attribution is not required but appreciated.

3.4 AI System Prompts — Usage Rights

You may deploy purchased system prompts in any AI platform (GPT-4, Claude, Gemini, etc.) for commercial use. You may adapt and build upon the prompts. You may not sell the original prompt text as a standalone product.

4. Payment Terms

NEXAPROMPT accepts Bitcoin (BTC) exclusively. All prices displayed in USD are indicative. The BTC equivalent is calculated at time of listing and shown on each product. We do not accept fiat currency, credit cards, or any other payment method.

4.1 Bitcoin Payment Process

  1. Select your product and note the exact BTC amount displayed
  2. Send that exact amount to our wallet: 3399tM7gD3ho9Dr5LTVmpuRs9H6HYzihFx
  3. Email your transaction hash (TX ID) and product name to info@yuskimo.com
  4. Your product will be delivered within 24 hours of transaction confirmation

4.2 Transaction Confirmation

We require a minimum of 1 blockchain confirmation before processing delivery. We are not responsible for delays caused by network congestion, low fees, or incorrect BTC amounts sent.

4.3 Incorrect Payments

If you send an incorrect amount, please email us immediately with your transaction hash. We will arrange either a top-up or a partial refund of any overpayment in BTC, minus network fees.

5. Delivery

All products are delivered digitally via email to the address you provide when contacting us with your transaction hash. Delivery occurs within 24 hours of payment confirmation. In most cases, delivery is same-day.

You are responsible for providing a valid email address. We are not liable for non-delivery caused by incorrect email addresses or spam filtering.

6. Consumer Rights & Refund Policy

Under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have rights regarding digital content.

6.1 Right to Cancel

You have a 14-day right to cancel digital product purchases under the Consumer Contracts Regulations. However, by requesting immediate digital delivery of your product, you acknowledge and agree that the 14-day cancellation right is waived once the digital product has been delivered, as permitted under Regulation 37(2).

6.2 Faulty Digital Content

If a digital product does not conform to its description or is technically unusable, you are entitled to a repair, replacement, or price reduction under the Consumer Rights Act 2015. Contact us within 30 days of purchase at info@yuskimo.com with your transaction hash and a description of the issue.

6.3 Limitations

We do not offer refunds based on personal preference, a change of mind, or dissatisfaction with AI outputs generated using our prompts (as AI outputs vary). All sales are final once the product has been delivered.

7. Intellectual Property

All content on the NEXAPROMPT marketplace — including product descriptions, marketing copy, website design, and proprietary prompt engineering methodology — is the intellectual property of NEXAPROMPT. Unauthorised reproduction is prohibited.

AI-generated digital artwork is owned by NEXAPROMPT until sold, at which point commercial licence rights transfer to the purchaser as described in Section 3.

9. Disclaimers & Limitation of Liability

9.1 "As Is" Provision

Products are provided "as is." AI systems, their outputs, and the effectiveness of system prompts depend on factors outside our control, including the AI model version, temperature settings, and the way prompts are deployed.

9.2 No Guarantee of Results

We do not guarantee specific business outcomes, revenue growth, or AI performance from using our products. Results vary based on implementation, market conditions, and individual effort.

9.3 Legal & Financial Advice

Products described as legal drafters, negotiation agents, or financial tools are not legal advice, financial advice, or professional services. Always consult a qualified professional for legal, financial, or medical decisions.

9.4 Limitation of Liability

To the maximum extent permitted by law, NEXAPROMPT's total liability for any claim arising from use of our products shall not exceed the amount you paid for the specific product giving rise to the claim. We are not liable for indirect, consequential, or special damages.

10. Privacy & Data

We collect minimal personal data. When you contact us to claim your product, we process your email address and transaction hash solely for fulfilment purposes. See our Privacy Policy for full details. We comply with the UK GDPR and Data Protection Act 2018.

11. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, you agree to contact us at info@yuskimo.com to attempt resolution in good faith. We aim to respond within 5 business days.

UK consumers also have the right to refer disputes to the relevant Alternative Dispute Resolution (ADR) body. We are not currently subscribed to an ADR scheme but will cooperate with any process.

12. Agent API Terms

NEXAPROMPT provides an open Agent Discovery API at https://base44.app/api/apps/6a0cf02aacb1b4278b70a7a8/functions/agentDiscovery. Use of this API is governed by these terms. Automated access must identify itself and not exceed 100 requests per minute. We reserve the right to revoke API access at any time.

13. Changes to Terms

We may update these Terms of Service at any time. The "Last updated" date at the top of this page will reflect changes. Continued use of the marketplace after changes constitutes acceptance of the new terms.
